FindCircle — Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and COJOCARU CRISTIAN-DAN Persoană Fizică Autorizată, trading as Nerdware ("we", "us", "our"), the provider of the FindCircle mobile application and related services (the "App"). By downloading, accessing or using the App, you agree to these Terms. If you do not agree, do not use the App.

The App is distributed through the Apple App Store and Google Play. Your use is also subject to the applicable store's terms (including Apple's Licensed Application End User License Agreement, the "Apple Standard EULA"). Where those store terms conflict with these Terms on a matter the store governs (such as payment and refunds), the store's terms control.

1. The service

FindCircle helps groups of people stay together by sharing their live location with a private circle they choose, showing everyone on a shared map, and related features. You are responsible for using the App lawfully and for respecting the privacy and consent of everyone whose location is shared.

4. Free tier, Premium subscriptions, and Event Passes

FindCircle offers a free tier, an auto-renewing Premium subscription, and one-time Event Passes. The exact features, durations and prices are shown on the purchase screen and on the App Store / Google Play listing at the time of purchase.

Purchases are processed by Apple or Google, not by us. Refund requests are handled under the Apple App Store or Google Play refund policies and by your statutory consumer rights. We do not separately process payments or issue refunds.

5. Location data and privacy

The App processes location and related data to provide its features. Our handling of personal data is described in our Privacy Policy. By using the App you acknowledge the Privacy Policy. You are responsible for obtaining any consent needed from other people before sharing their location.

6. Intellectual property; licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App for your own non-commercial use, subject to these Terms and the applicable store terms. We and our licensors retain all rights, title and interest in the App and its content.

7. Third-party services

The App relies on third-party services, including the App Store, Google Play, push-notification providers, and monetization/analytics providers used to deliver purchases. Your use of those services may be subject to their own terms.

8. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not warrant that location data is accurate, complete, or continuously available, or that the App will be uninterrupted or error-free. Do not rely on the App as the sole means of locating a person in an emergency. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including your mandatory consumer rights.

If you obtained the App from the Apple App Store, the warranty disclaimer in the Apple Standard EULA (see section 10) applies to your licensed use of the App and controls over this section to the extent of any conflict.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill, arising from your use of the App. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law.

If you obtained the App from the Apple App Store, the limitation of liability in the Apple Standard EULA (see section 10) applies to your licensed use of the App and controls over this section to the extent of any conflict. If you obtained the App from Google Play, this section applies in full.

10. Apple-specific terms (App Store)

If you obtained the App from the Apple App Store, the Apple Licensed Application End User License Agreement (the "Apple Standard EULA") applies to your licensed use of the App and is incorporated into these Terms by reference. On the matters it governs — the scope of your licence, permitted use and restrictions, warranty disclaimers, and limitation of liability — the Apple Standard EULA controls, and sections 6, 8 and 9 of these Terms apply only to the extent they are consistent with it. These Terms continue to govern matters the Apple Standard EULA does not address, including eligibility and accounts (section 2), acceptable use (section 3), subscriptions and Event Passes (section 4), and location data and privacy (section 5).

You further acknowledge that: these Terms are between you and us, not Apple; Apple is not responsible for the App or its content; Apple has no obligation to provide support or maintenance for the App; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you obtained the App from Google Play, the Apple Standard EULA does not apply, and sections 6, 8 and 9 of these Terms govern instead.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where required, notified in the App or store listing. Continued use after changes take effect means you accept the updated Terms.

12. Termination

You may stop using the App at any time. We may suspend or end your access if you breach these Terms or if required by law. Sections that by their nature should survive (e.g. intellectual property, disclaimers, limitation of liability, governing law) survive termination.

13. Governing law

These Terms are governed by the laws of Romania, without regard to its conflict-of-laws rules, and subject to any mandatory consumer-protection laws of your country of residence. In accordance with EU Regulation No. 524/2013, the European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr.
